Sergei specialises in large-scale investment projects in Russia. He has extensive experience of providing legal support for M&A transactions. For 20+ years, he has been advising on acquisition and sale of stakes in state-owned, public and private companies, structuring of joint ventures and other corporate law matters.

Sergei also has significant experience with respect to construction and real estate issues. He regularly helps the firm’s clients implement commercial real estate transactions and infrastructure/PPP projects.

Advised a shareholder in Sibur Holding, a Russian petrochemicals major, on selling 1.9% of its shares to Mubadala Investment Company, a UAE sovereign investment fund (2021)

Represented Gazprombank Leasing, a leasing affiliate of a Top-3 Russian bank, in a deal for acquiring 100% in Carcade, a leading car leasing company, from Getin Holding, a major Polish financial conglomerate. Matter value: ₽2,9 bn ($50 m) (2019-2020)

Advised Gazprombank on acquisition of a 19% stake in Megafon, one of Russia’s Big-3 mobile network operators, from Telia Company, a European telecommunications corporation. Deal value: ₽60.5 bn ($1 bn) (2017)

Advised a Chinese real property major on the envisaged acquisition of a controlling stake in a Russian company with a large portfolio of commercial real estate in Moscow. Deal value: $650 m (2017-2018)

Advised a leading Russian investment group on a complex multi-jurisdictional corporate restructuring in connection with its deoffshorisation. Deal value: $2 bn+ (2015-2016)
