Supporting large-scale development projects, helping mitigate commercial risks

The firm advises concession owners, private partners and financing parties on all legal aspects of public-private partnerships, particularly in the context of major infrastructure initiatives. We have accumulated considerable experience with national, regional and local scale PPP projects, most notably for developing road, transport, industrial, social and medical infrastructure.

We specialise in preparing comprehensively for participation in public-private partnerships, including advising on raising and providing (syndicated) project finance.

The main work areas cover PPP-project risk assessment (including antitrust, land and property risks, etc.), developing optimal legal models for project implementation, drafting and negotiating concessions, PPP contracts, general contractor agreements, equipment design, supply and construction contracts, among them ones implemented under the EPC model.

We also advise both PPP-project owners and contractors on related commercial matters, e.g., drafting complex commercial contracts: natural resource supply and transshipment agreements (including take-or-pay), licences, service, work and agency contracts, leases, etc.

Advising on a PPP project for construction of the Eastern Rail Polygon, Russia’s biggest transport infrastructure development project providing for expansion of the Baikal-Amur Mainline and the Trans-Siberian Railway, the two main railway lines connecting Russia and Asia. The advice has included drafting documentation for a private concession initiative and concession agreements. Matter value: ₽493 bn ($8 bn) (2022-present)

Providing all-round legal support for comprehensive reconstruction of the St Petersburg Sports and Concert Complex (SKA Arena) based on a concession agreement between the firm’s client and the Government of St Petersburg. Deal value: ₽73 bn (2018-present)

Advising Gazprombank and VEB.RF on financing construction of a new passenger terminal and renovating existing facilities at an airport in the Far North of Russia, including reviewing the concession agreement and construction law issues. Investment: ₽10.8 bn (2020-present)

Providing legal support for a large-scale project to build a new highway in the Moscow Region, including drafting an addendum to the concession agreement for securing project finance, drafting and negotiating the general contractor agreement. Matter value: ₽156 bn ($2.5 bn) (2022-present)

Advising concession owners and financing parties in connection with several large-scale road building projects: a highway in the Kursk Region (₽95 bn), the M-49 toll road in St Petersburg (₽23.8 bn) and the Northern Omsk Bypass (₽63.2 bn), including drafting of concession agreements (2022-present)

Advising on a private concession initiative for building two major bypasses for the Russian metropolis Nizhny Novgorod, including drafting a concession agreement. Matter value: ₽170 bn ($3.1 bn+) (2022-present)

Advising a financing party regarding concession agreements for construction of social infrastructure facilities in Yuzhno-Sakhalinsk — a university campus and a new 300-bed surgery building, including preparation of the necessary documentation. Project value: over ₽35.1 bn (2023-present)
